Licenses and Copyright

1. Overview

This policy applies to all products purchased through the Black Sheep Press website and associated platforms.
Products are provided as:

• Subscriptions (time-limited access to online resources)
• PDF Licences (downloadable resources)
• Apps (software accessed via supported devices)
• Physical Products (printed materials and goods)
• Digital products (including subscriptions, PDFs, and apps) are provided on a licensed basis and are not sold. Access to and permitted use of digital products depend on the licence type purchased.
Physical products are sold to the purchaser, however all intellectual property rights remain with Black Sheep Press Ltd.

2. Account Access

• Access to digital resources is provided via user accounts.
• Licences must only be used by authorised users in accordance with the licence type.
• Users are responsible for maintaining the security of their login details.
• Login details must not be shared between users. Each user must access resources via their own authorised account.

3. Licence Types

Individual Account Licence

• Licensed for use by one named individual only (e.g. a speech and language professional or parent/carer).
• Resources may be accessed on up to two personal devices.
• Resources must not be shared, transferred, or made available on school or organisational systems.
• The licence is personal to the purchaser and remains with them if they change roles or workplaces.
• Printable PDF resources may be printed and reprinted as required, in full or in part, for use with children, or groups of children, over time.

School Account Licence

• Licensed for use within a school, nursery, college, or academy trust.
• This licence applies to one geographical school location, unless otherwise agreed.
•  Resources may be downloaded onto multiple school systems and used by staff within the setting.
• Printable PDF resources may be printed and reprinted as required, in full or in part, for use with children, or groups of children, over time.
• Where an additional snippet function is purchased, selected content may be digitally shared with families or carers.
• Use is limited to the purchasing school or setting and must not be shared externally.

Organisation / Service Account Licence

• Suitable for use by multiple users, including small teams, large speech and language services, or universities.
• Access is provided via user accounts and can be tailored to team size, including adding or removing users.
• The number of authorised users will be specified in the licence and/or invoice.
• Resources must not be accessed by more users than licensed.
• It is the responsibility of the organisation to contact Black Sheep Press Ltd if additional users are required.
• Enables central management of team membership and access.
• Resources may be printed and used with children or clients supported by the service.
• Where an additional snippet function is purchased, selected content may be digitally shared with families or carers.
• Resources must not be shared outside of the licensed organisation or service.

4. Payment Terms

• Payment for all products must be made in full in accordance with the agreed payment method.
• Individual purchases must be paid at the point of purchase.
• Schools and organisations may pay by invoice where agreed:
• Payment is due within 30 days of the invoice date, unless otherwise agreed in writing.
• Time for payment shall be of the essence.
• No settlement discounts, set-offs, or deductions may be made unless agreed in writing in advance.
• Interest may be charged on overdue invoices at a rate of 8% per annum.
• Access to digital products may be withheld or suspended until payment has been received.

5. Subscription Services

5.1 Term
Subscriptions are valid for 12 months from the date of purchase.

5.2 Renewal
Subscriptions automatically renew annually unless cancelled before the renewal date.

5.3 Cancellation

• Subscribers may cancel at any time.
• No refunds or partial refunds will be issued for unused portions of an active subscription.

6. PDF Licences

6.1 Access to Downloads

• PDF resources are available for a minimum of 30 days
• After this period, access is not guaranteed.
• Purchasers are responsible for downloading and securely storing files within this timeframe.

6.2 Usage

• PDFs may be printed and used in accordance with the licence purchased.
• Files must not be resold, redistributed, or shared outside the terms of the licence.

6.3 Refunds

• All PDF purchases are non-refundable once access has been provided, except where required by law.

7. Apps

7.1 Access & Compatibility

• Apps are licensed for use on compatible devices only.
• It is the purchaser’s responsibility to ensure their device meets system requirements.

7.2 Updates

• We may provide updates, improvements, or bug fixes at our discretion.

7.3 Refunds

• App purchases are non-refundable once downloaded or accessed, except where required by law or platform provider policies.

8. Discontinuation of Services or Resources

Black Sheep Press reserves the right to modify or withdraw products or services at any time.
Subscriptions: If subscription services are permanently withdrawn before the end of a paid period, a pro-rata refund for the unused portion will be provided.

PDF Resources:

• PDF downloads remain available for the 30 days access period only.
• Failure to download within this period does not entitle the purchaser to a refund.

Apps:

• Continued access is not guaranteed indefinitely.
• Refunds will only be provided where required by law.

9. Copyright & Permitted Use

• All content, materials, and resources are the copyright of Black Sheep Press Ltd.
• Products are licensed for use and are not sold or transferred to the purchaser.
• Resources may be used in direct work with children or clients supported by the licensee.
• Licence details may be displayed on downloaded resources. If licence information appears incorrect, the resource must not be used and the purchaser should contact Black Sheep Press Ltd.

Users must not:

• Copy, reproduce, or distribute materials beyond the terms of the licence
• Share resources outside the licensed user or organisation
• Upload or host materials on shared drives, websites, or platforms accessible by unauthorised users
• Provide access to resources for others to download or use
• Use resources for commercial purposes without permission
• Modify, adapt, or alter resources in any way without prior written permission
• Use or upload any Black Sheep Press product to artificial intelligence systems or similar digital applications
• We reserve the right to audit usage where there is reasonable suspicion that licence terms are being exceeded.
• Unauthorised use may constitute copyright infringement and may result in:
  Immediate suspension or termination of access
  Legal action to recover damages and associated costs

• Black Sheep Press takes the protection of its resources seriously. Our materials are developed by a team of authors and illustrators and are intended for licensed use only.

10. Suspension & Termination

• Access may be suspended or terminated where there is a breach of this policy.
• No refund will be provided in cases of misuse or breach of licence terms.

11. Non-Transferability

• Licences and subscriptions are non-transferable and may not be reassigned, resold, or shared outside the licensed user or organisation.

12. Physical Products (Printed Materials & Goods)

• This section applies only to physical goods supplied by Black Sheep Press Ltd.

12.1 Orders

• Orders are accepted subject to availability.
• We reserve the right to refuse or cancel any order.

12.2 Delivery

• Delivery charges and timescales will be specified at the time of order.
• Delivery is made to the address provided by the Buyer.
• Risk in the Goods passes to the Buyer upon delivery.
• Delivery dates are estimates only.

12.3 Inspection & Claims

• Goods must be inspected upon receipt.
• Any issues (damage, shortage, or non-delivery) must be reported within 7 days of delivery or invoice date.

12.4 Returns

Returns are only accepted with prior agreement.
Goods must be returned in original condition.

12.5 Retention of Title

Ownership of Goods remains with Black Sheep Press Ltd until full payment has been received.

12.6 Liability

• Liability is limited to the price paid for the Goods.
• We are not liable for indirect or consequential losses, except where required by law.

13. Governing Law

This policy and any disputes arising from it shall be governed by and construed in accordance with the laws of England and Wales.

14. Changes to This Policy

We reserve the right to update this policy at any time.
The latest version will always be available on our website.
